AdpexAI User Service Terms

1. Introduction

AdpexAI is operated by [Xi'an Diango Network Technology Co., Ltd.] and its affiliated companies ("we" or "the company"). As a user ("you"), you clearly understand, confirm, and agree to the content of this agreement, thereby establishing an agreement relationship between you and [Xi'an Diango Network Technology Co., Ltd.] and its affiliated companies. Please read this agreement carefully. You guarantee that you have fully grasped, understood, and are aware of all the content of this agreement. By clicking "OK", you represent that you agree to be bound by this agreement and are willing to assume the obligations and legal responsibilities under this agreement.
If you will use our services on behalf of a company, partnership, organization, government, or other institution (your "institution"), you promise and guarantee that your business entity is a legally registered and validly existing legal entity. You must ensure that you have been authorized to act as such and to bind your institution to this agreement.
You must confirm that you have full capacity for civil conduct. You should be at least 18 years old, or at least 16 years old and relying on your own labor income as your main source of livelihood. You have the right and ability to agree to all the content of these terms and related agreements. AdpexAI does not encourage minors to use its related services. Minors should entrust their guardians to operate or operate under the express consent of their guardians. Otherwise, they are not allowed to use AdpexAI's recharge services. Please, guardians of minor users, earnestly fulfill your guardianship obligations. AdpexAI will not assume any responsibility for the actions of minor users during the use of recharge services or for any consequences arising from their use of recharge services.
When you access or use the website, services, and software provided by AdpexAI at https://www.adpexai.com/, as a "user" (including "enterprises" and "individual users"), you agree to abide by the provisions of these service terms. The AdpexAI platform refers to the collection of the above-mentioned website, services, and software. If you access or use AdpexAI, it means that you have read and understood these terms and the privacy policy and agree to be bound by them. If you do not agree to these terms or cannot comply with them, we will not be able to provide you with relevant services. These terms apply to all those who wish to access or use AdpexAI, including casual visitors, users, and others. Please note that the products and services provided by the platform are only for legal purposes.

2. Your Account

When registering an account on AdpexAI, please ensure the accuracy and completeness of the information you provide. If the information you provide is inaccurate or incomplete, AdpexAI may terminate your account. You need to protect your account and password and take confidentiality measures for your account. If your account and/or password are used for any unauthorized activities or actions, you will be responsible for them. If you discover any security vulnerabilities in your account or that someone is using your account without authorization, please notify us in a timely manner. Unless authorized, you may not use the name of a third-party entity or an illegal name as your username. You also cannot use any offensive, vulgar, or obscene names as your username.

3. Fees

AdpexAI reserves the right to modify prices and fees at its sole discretion at any time. You can view the fee information in real-time on the page where you interact with us. This information will accurately reflect the current prices and fees. If we make any changes to the subscription or purchase fees, these changes will take effect immediately and will be effective at the end of your current billing cycle, provided that you already have a valid subscription. If you continue to use the subscription after the subscription fee has changed, it means that you agree to pay the changed subscription fee.

4. Payment and Purchase

If you want to purchase any products or services on AdpexAI, you may need to provide specific payment-related information, such as your payment method information and credit card information. Here, you confirm and guarantee that you have the legal right to use any payment method for the purchase and that the information you provide to us is true, accurate, and complete. To facilitate payment and complete the purchase, we may use third-party services. When you submit your payment information, it means that you agree that we may share this information with third parties while complying with our privacy policy.

5. Free Trial

We may provide a time-limited free trial service with incomplete service functions ("free trial"), but we have the right to decide whether to provide this service at our sole discretion. When registering for a free trial on AdpexAI, you may need to enter your payment information, billing information, etc. If you enter payment information when registering for a free trial, we will not charge you any fees until the end of your free trial period. We reserve the right to modify the terms of the free trial or cancel your free trial at any time without prior notice to you.

6. Subscription

Subscription Period

The AdpexAI service or certain parts of the service are only applicable to paid subscriptions. Depending on the type of subscription plan you choose when purchasing a subscription, you will prepay regularly, either monthly or annually. At the end of each period, unless you cancel the subscription, your subscription will automatically renew under exactly the same conditions.

Canceling Subscription

You can cancel the subscription renewal on the "Personal Center" page or by sending an email to support@adpexai.com. After canceling the subscription, you will not receive a refund for the fees already paid for your current subscription cycle, and you will be able to continue accessing the service until the end of the current subscription cycle.

7. Refund

The products and services provided by AdpexAI are special virtual products and services. The fees you pay represent the activation and use of AdpexAI's products and services. Once purchased, they are non-transferable and non-refundable.
Please note that these terms apply to all services provided by this platform, including but not limited to membership purchases and K coin recharge services. Please make your purchases carefully.

8. Activities and Promotions

Any promotional activities provided by AdpexAI may be subject to rules different from these terms. If you participate in any promotional activities, please review the applicable rules and our privacy policy. If the promotional rules conflict with these terms, the promotional rules shall prevail.

9. AdpexAI Content

"AdpexAI content" refers to all images, text, audio, video data, or any other information available on or through the platform. All existing and future AdpexAI content is the proprietary property right of AdpexAI and its licensors. As a user, you can enjoy the relevant services only after paying the relevant fees in full. At the same time, you must abide by these "service terms". If you violate these "service terms", we may revoke the corresponding license at any time.

10. Your Content

AdpexAI supports users to provide specific text, pictures, videos, or other materials in various ways for creating or generating pictures, videos, or other materials. You are responsible for the materials you use and the content you generate, including its legality, reliability, and appropriateness. You must not engage in unauthorized or illegal secondary creation of the content. When you publish or create content, you guarantee that you have the right to use the content and the right to grant us the rights and licenses specified in these terms, and that the content will not infringe the privacy rights, portrait rights, copyrights, intellectual property rights, or any other rights of any other entity. If you violate this clause, we will terminate your account at any time and have the right to claim from you all the losses suffered by the platform due to third-party claims. You retain all rights to any content you submit, publish, display, or create on or through the platform. By uploading or creating content on the platform, you agree to grant AdpexAI a free, non-exclusive, permanent, transferable, irrevocable, and worldwide license. You need to ensure that your content complies with and helps AdpexAI update its service terms and privacy policy at any time.

11. Usage Policy

During the period when you purchase and pay for the service, AdpexAI grants you a limited, non-exclusive, non-transferable, and non-sub-licensable license to access and use this service. You agree not to abuse AdpexAI or any content. Abuse constitutes a violation of the platform's service terms, privacy policy, and applicable laws and regulations, including but not limited to: - Violating any applicable domestic or international law in any way; - Exposing minors to inappropriate content or harming minors in any other way; - Content for adult entertainment purposes; - Infringing the rights of others in any way, including but not limited to obscenity, slander, immorality, insult, intimidation, fraud, bullying, discrimination; - Any other behavior that disrupts the AdpexAI platform; - Accessing this platform using malicious programs without the express consent of AdpexAI; - Taking any action that may damage or falsify AdpexAI's ratings or reputation; - Decompiling, reverse engineering, disassembling, attempting to derive the software source code, or decrypting AdpexAI; - Using the AdpexAI service directly or indirectly to compete with malicious acts or to replace AdpexAI's products or services in any way; - Distributing, transferring, sub-licensing, leasing, lending, or renting AdpexAI to any third party; - Using the created content in a way that any reasonable person would consider infringing. If the content you create may violate these service terms, we will immediately delete, stop publishing, and recall the illegal content. You must also immediately delete, stop publishing, and recall the illegal content. We can immediately terminate your access to AdpexAI and have the right to claim from you all the losses suffered by AdpexAI as a result. AdpexAI will not assume any responsibility for any consequences arising from your abuse of AdpexAI or the generation of any content.

12. Demonstrative Authorization

You agree that AdpexAI may use your name and logo in sales, on the website, and in marketing materials and press releases with your consent.

13. Disclaimer

You understand and agree that the platform does not assume any legal responsibility for any interruption or obstruction of functions caused by the following circumstances: damage caused by computer viruses, Trojans, or other malicious programs or hacker attacks; malfunctions of your computer software, system, hardware, or communication lines; improper operation by you; using this function through non-platform authorized methods; or other circumstances beyond the control or reasonable anticipation of the platform.

14. Liability and Compensation

If you violate the provisions of this agreement and cause losses to us (the "losses" include but are not limited to economic losses, litigation fees, attorney fees, notarization fees, audit fees, preservation guarantee fees, travel expenses, appraisal fees, and other reasonable rights protection expenses), you shall pay us full and comprehensive economic compensation in accordance with the law.

15. Effectiveness, Amendment, and Termination of the Terms

This agreement comes into effect automatically when you fill in the information according to the instructions on the AdpexAI login/registration page, read, and click the "I have read and agreed" option box to complete the login/registration process, or when you use AdpexAI services through other means.
You understand and agree that AdpexAI may change the service content, interrupt, suspend, or terminate the service based on adjustments to its business strategy.
In the event of a merger, spin-off, acquisition, or asset transfer, AdpexAI may transfer the relevant assets under this service to a third party. AdpexAI may also, after notifying you unilaterally, transfer some or all of the services and corresponding rights and obligations under this agreement to a third party for operation or performance. The specific transferee shall be subject to the notice from AdpexAI.
We have the right to interrupt or terminate the service provided to you without notice in any of the following situations: if you are required to submit true information according to laws and regulations, but the information you provide is untrue or inconsistent with the registered information and you fail to provide reasonable proof; if you violate the provisions of relevant laws and regulations or the terms of this agreement; if required by a judicial organ or a competent department in accordance with laws and regulations; or for security reasons or other necessary circumstances.

16. Governing Law and Jurisdiction

The conclusion, validity, execution, interpretation, and dispute resolution of these terms shall be governed by the laws of the People's Republic of China, without applying the principles of conflict of laws. For any disputes arising from the conclusion, validity, execution, and interpretation of these terms, the two parties shall first attempt to resolve them through negotiation. If the negotiation fails, both parties shall submit the dispute to the Xi'an Arbitration Commission and conduct arbitration in accordance with its then-effective arbitration rules. The arbitration award is final and binding on both parties. The arbitration location is Xi'an, China.
